Your LLC's address or responsible party changed: tell the IRS

If the IRS has an old address, its letters never reach you, penalty notices included. And a new responsible party must be reported within 60 days.

It is for you if

  • Your LLC has an EIN and its mailing address changed: for example, you stopped using the formation provider's address.
  • The business location changed.
  • The person who controls the LLC changed: a sale, a new member or an inheritance.

It is not for you if

  • Your home address changed: that goes on Form 8822, not 8822-B.
  • The LLC's name changed: that change is not reported on this form.
  • You are a tax-exempt organization or an employee plan: the form has its own boxes for that.

  1. By mail only, to the address that matches the business's old address. Do not attach it to any return.
  2. If the old address was in Alabama, Alaska, Arizona, Arkansas, California, Colorado, Florida, Hawaii, Idaho, Iowa, Kansas, Louisiana, Minnesota, Mississippi, Missouri, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oklahoma, Oregon, South Dakota, Texas, Utah, Washington, Wyoming or outside the U.S.: Internal Revenue Service, Ogden, UT 84201-0023.
  3. If it was in Connecticut, Delaware, District of Columbia, Georgia, Illinois, Indiana, Kentucky, Maine, Maryland, Massachusetts, Michigan, New Hampshire, New Jersey, New York, North Carolina, Ohio, Pennsylvania, Rhode Island, South Carolina, Tennessee, Vermont, Virginia, West Virginia, Wisconsin: Internal Revenue Service, Kansas City, MO 64999.
  4. Who signs: the owner, a managing member or an authorized representative. A representative must attach a copy of the power of attorney.
